Settlement vs. Closing

 

 

 

In this industry, it is common for people to talk about closings. I think that most people think that settlement is closing. That is not the case and there is a difference. Even within the industry, the word closing is used in place of settlement. Below is how the Real Estate Purchase Contract defines the two terms.

          3. SETTLEMENT AND CLOSING.

                    3.1 Settlement.

 

 

Settlement shall take place no later than the Settlement Deadline referenced in       Section 24(d), or as otherwise mutually agreed by Buyer and Seller in writing. “Settlement” shall occur only when all of the following have been completed: (a) Buyer and Seller have signed and delivered to each other or to the escrow/closing office all documents required by the REPC, by the Lender, by the title insurance and escrow/closing offices, by written escrow instructions (including any split closing instructions, if applicable), or by applicable law; (b) any monies required to be paid by Buyer or Seller under these documents (except for the proceeds of any new loan) have been delivered by Buyer or Seller to the other party, or to the escrow/closing office, in the form of cash, wire transfer, cashier’s check, or other form acceptable to the escrow/closing office.

 

 

 

          3.5 Closing.

                    For purposes of the REPC, “Closing” means that: (a) Settlement has been completed; (b) the proceeds of any new loan have been delivered by the Lender to Seller or to the escrow/closing office; and (c) the applicable Closing documents have been recorded in the office of the county recorder. The actions described in 3.5 (b) and (c) shall be completed within four calendar days after Settlement.

Understanding Short Sales

If you are planning to submit an offer on a short sale home, your agent should give you an “Understanding Short Sales” disclosure form. I have included a copy of the form below because it is a good explanation of the process. It is important to understand what you are getting into.

 

UNDERSTANDING SHORT SALES

THIS FORM is provided by ___________________(Your Real Estate Company). The following is an explanation regarding some of the practical and legal issues involved in Short Sales.

1. SHORT−SALE DEFINED. The term “Short Sale” is used in the real estate business to describe a situation where there is more debt owing against a property than the property is worth. In other words, the owner can’t sell the property unless the creditors (”Third Parties”) agree to accept a payment that is less (or “short”) of the amounts actually owed to those Third Parties. The Third Parties are usually mortgage lenders, mortgage insurers, bankruptcy trustees, and federal, state and local taxing authorities (such as the IRS or State Tax Commission).

2. NO BINDING CONTRACT WITHOUT THIRD PARTY APPROVAL. A Short Sale requires the written approval of the Third Parties. Consequently, the owner of the property, and any interested buyer, are advised that even if they reach an agreement between themselves for the purchase and sale of the property, that agreement will not be binding until the Third Parties approve the terms of the Short Sale.

3. THIRD PARTY REJECTION OR CHANGES TO PROPOSED SHORT SALE. Based upon the obvious financial loss, Third Parties will often reject a proposed Short Sale. If however, the Third Parties do not reject the proposed Short Sale, they will usually send to the owner a list of requested changes to the proposed purchase contract. Some of those changes will affect the owner; and others may affect the interested buyer. For example, the Third Parties may require that the property be sold in “As−Is” condition. Also the Third Parties will normally not permit the owner to pay for any of the buyer’s closings costs, repairs, etc. The owner and the interested buyer are not obligated to accept any of the changes requested by the Third Parties – in which case, there will be no Short Sale. If however, the owner, the interested buyer, and the Third Parties reach a written agreement with each other, then, at that point, the Short Sale transaction may proceed to closing.

4. DELAYS IN RESPONSE FROM THE THIRD PARTIES. Most purchase contracts for Short Sales impose a deadline for written approval by the Third Parties. As a practical matter, the third parties rarely meet that deadline. THE OWNER AND THE INTERESTED BUYER SHOULD BE PREPARED FOR SIGNIFICANT DELAYS IN RECEIVING ANY RESPONSE FROM THE THIRD PARTIES.

5. RIGHT OF THIRD PARTIES TO ENCOURAGE ADDITIONAL OFFERS. As a condition of considering any proposed Short Sale, the Third Parties will usually require that the owner keep the property on the market, even after the owner and the interested buyer have agreed to the terms of a proposed purchase contract. As a reminder, the Third Parties are being requested to accept payment that is less than what is owed to them. Under those circumstances the Third Parties want to obtain the highest possible price for the property. Therefore, it is to their advantage to require the owner to keep the property on the market, and to promptly submit to the Third Parties any additional purchase offers that the owner may receive from other interested buyers. THE OWNER AND THE INTERESTED BUYER SHOULD UNDERSTAND THAT THE THIRD PARTIES MAY NOT EVEN RESPOND TO A PROPOSED SHORT SALE TRANSACTION UNTIL THEY HAVE HAD AN OPPORTUNITY TO COMPARE THAT OFFER WITH OTHER PURCHASE OFFERS. THAT PROCESS MAY ALSO RESULT IN SIGNIFICANT DELAYS FOR ALL PARTIES.

6. RIGHT OF BUYER TO CANCEL. As provided in paragraph 5 above, the owner will usually be required by the Third Parties to continue to market the property even after the owner and the interested buyer have entered into a purchase agreement. Based upon that requirement, the owner and the interested buyer are also advised that until the owner, the interested buyer, and the Third Parties reach a written agreement, the interested buyer may cancel the proposed Short Sale transaction for any reason, or for no reason, by providing written notice to the Seller.

Short Sales

I am amazed at the number of listings listed as “Short Sales” right now. Another term is “Subject to Third Party Approval.” Many people don’t know what a Short Sale is and mistake them for Bank Owned properties. I think in most cases, a short sale means the seller cannot get full value out of their home for one reason or another but really needs to sell.  

I believe the reason for our large numbers of short sales listings right now is probably that appreciation rates were so high for a while and Lenders were loaning at higher values in anticipation of continued appreciation. The appreciation rates slowed down, leaving many of these homes with loans in amounts that never materialized in actual value.

A Short Sale means the home is listed on the MLS at a lower price than is owed on the home. If the lower price tempts a buyer to make an offer, the low offer is submitted to the Lender with the proper forms and proof that the seller really needs to sell or they will default on their loan etc.

The Lender then goes through a long and drawn-out process, including determining what a fair market value would be, to determine what they intend to do. They will usually come back with a price they will accept, which is typically higher than the original offer but lower than the original loan.

This is a very simplified explanation of a short sale. It is a complicated process and takes a very long time to get to closing. Most buyers don’t have the temperment to attempt a short sale and I do not recommend trying as it most often leaves buyers feeling frustrated and disappointed in the end.

If you can somehow stay emotionally unattached, have enough patience to outlast Job, and be able to move on to the next house after wasting 45-90 days, a short sale can be a good opportunity to get a nice home for less money.

Just My 17 Cents…

My third child/daughter is getting married. The wedding is coming up and it has been busy around here. Announcements are finally out. It’s been fun.
When it came time to mail the announcements, we realized that some of the announcements are a little…well, overweight.  If a letter weighs more than an ounce, the next ounce costs an extra 17 cents.  The Bride to be, was pleased to find a nice assortment of lovely stamps to choose from and picked out a nice light green stamp with a swirlie heart and some with a pretty, bright yellow sunflower on them. They were very nice.
However, when it came to choosing the 17 cent stamp to go with it, there was one choice. We will call it the nice “Ceremonial Desert Ram” stamp. I noticed this same situation when I mailed my Christmas cards this last year. I went to the trouble to buy Christmas stamps but since my cards were 1.1 ounces, I added the nice “Christmas Desert Ram” stamp to accompany the Nutcracker stamp.
 
I actually enjoy collecting stamps. It always amazes me that there is such a wide assortment of stamps to choose from. They come up with new ones every year. There is a new Christmas stamp each year, a new “Love” stamp…Why do you suppose they offer such a nice assortment of stamps…Christmas, history, nature, charity, and of course “love” that is a nice touch for a wedding announcement…then only offer one choice for the overweight envelopes? 
I am thinking that Christmas and Weddings are probably the most common, mass mailing over weight type items mailed. They should add matching 17 cent stamps to, at least, the Christmas stamps and the Love stamps. Picture a large heart, next to a collection of smaller hearts, all coordinating colors. Maybe a Christmas tree and a small wrapped present you can make look like it is sitting next to the tree…

Darwin Awards

I don’t know how true these really are but they made me laugh.

1. When his 38-caliber revolver failed to fire at his intended victim
during a hold-up in Long Beach , California , would-be robber James
Elliot did something that can only inspire wonder. He peered down the
barrel and tried the trigger again. This time it worked. And now, the
honorable mentions:

2. The chef at a hotel in Switzerland lost a finger in a meat-cutting
machine and, after a little shopping around, submitted a claim to his
insurance company. The company expecting negligence sent out one of its
men to have a look for himself. He tried the machine and he also lost a
finger. The chef’s claim was approved.

3. A man who shoveled snow for an hour to clear a space for his car
during a blizzard in Chicago returned with his vehicle to find a woman
had taken the space. Understandably, he shot her.

4. After stopping for drinks at an illegal bar, a Zimbabwean bus driver
found that the 20 mental patients he was supposed to be transporting
from Sarare to Bulawayo had escaped. Not wanting to admit his
incompetence, the driver went to a nearby bus stop and offered everyone
waiting there a free ride. He then delivered the passengers to the
mental hospital, telling the staff that the patients were very excitable
and prone to bizarre fantasies. The deception wasn’t discovered for 3
days.

5. An American teenager was in the hospital recovering from serious head
wounds received from an oncoming train. When asked how he received the
injuries, the lad told police that he was simply trying to see how close
he could get his head to a moving train before he was hit.

6. A man walked into a Louisiana Circle-K, put a $20 bill on the
counter, and asked for change. When the clerk opened the cash drawer,
the man pulled a gun and asked for all the cash in the register, which
the clerk promptly provided. The man took the cash from the clerk and
fled, leaving the $20 bill on the counter. The total amount of cash he
got from the drawer… $15. [If someone points a gun at you and gives
you money, is a crime committed?]

7. Seems an Arkansas guy wanted some beer pretty badly. He decided that
he’d just throw a cinder block through a liquor store window, grab some
booze, and run. So he lifted the cinder block and heaved it over his
head at the window. The cinder block bounced back and hit the would-be
thief in the head, knocking him unconscious. The liquor store window was
made of Plexiglas. The whole event was caught on videotape.

8. As a female shopper exited a New York convenience store, a man
grabbed her purse and ran. The clerk called 911 immediately, and the
woman was able to give them a detailed description of the snatcher.
Within minutes, the police apprehended the snatcher. They put him in the
car and drove back to the store. The thief was then taken out of the car
and told to stand there for a positive ID. To which he replied, ‘Yes,
officer, that’s her. that’s the lady I stole the purse from.’

9. The Ann Arbor News crime column reported that a man walked into a
Burger King in Ypsilanti , Michigan , at 5 A.M., flashed a gun, and
demanded cash. The clerk turned him down because he said he couldn’t
open the cash register without a food order. When the man ordered onion
rings, the clerk said they weren’t available for breakfast. The man,
frustrated, walked away. [A 5-STAR STUPIDITY AWARD WINNER]

A friend of mine sent a Christmas letter and he ended it with the following words. It was well put and I wanted to share what he said.

Utah County Statistics January 2009

I figured out how to show these Real Estate Statistic charts on my blog. It is sometimes easier for me to understand the information from a chart. I hope it helps.

 

 

There are fewer active listings than the previous year which is good news for sellers since it means less competition. There are most listings than in 2006 which is good news for Buyers. There are plenty of homes to choose from but less competition driving prices up.

Fewer homes have sold but they are still selling. The up and down trends tend to be similar for each year. This shows the seasonal trends in real estate.

 

Notice the Average sales price in 2008 is on an upward trend. This is contrary to what the public perception seems to be. Prices are not falling.

The trend seems to be similar for both years.

Again, notice the upward trend. Good news.

Happy New Year

I have enjoyed a great week with my family. I was fortunate to have all of my children including their spouses home for Christmas through New Years Day. As they get older and start choosing their own paths, it gets harder to find opportunities when all of them can get together.

I count my blessings as the last few days have been a taste of heaven for me. I love my family and look forward to the next time we can all get together again. Maybe our upcoming wedding which is not too far away.
